Welcome to Evynta Technologies. These Terms of Service ("Terms") govern your use of our website (evynta.in), custom AI Agent development, WhatsApp chatbots, and associated automation services (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Scope of Services

Evynta Technologies ("we," "us," or "our") provides custom AI Agent development, API integrations (including WhatsApp Business API), and CRM/workflow automation. The specific scope, deliverables, and timelines of any project will be outlined in a separate written agreement, Statement of Work (SOW), or invoice.

2. Client Responsibilities

To ensure successful delivery of the Services, you agree to:

  • Provide timely access to necessary accounts, APIs, documentation, and data required to train and deploy your AI Agents.
  • Ensure you have the legal right and necessary consents to use, process, and share any data (including customer data) you provide to us.
  • Comply with the Terms of Service of any third-party platforms we integrate with on your behalf (e.g., Meta/WhatsApp, OpenAI, Twilio, HubSpot).

3. Acceptable Use & Compliance

When using our AI Agents, particularly on public messaging channels like WhatsApp or SMS, you agree not to use the Services to:

  • Send unsolicited spam, bulk marketing without opt-in consent, or messages that violate the WhatsApp Commerce Policy or local anti-spam laws (e.g., TCPA in the US).
  • Promote illegal activities, distribute malicious software, or impersonate others.
  • Collect sensitive personal information (such as health data or financial details) without adequate security and legal compliance measures in place.

We reserve the right to suspend or terminate Services immediately if your use violates third-party vendor policies (e.g., resulting in a WhatsApp ban) or these Terms.

4. Intellectual Property

Unless otherwise stated in a specific SOW:

  • Client Ownership: You retain full ownership of all your pre-existing data, customer lists, brand assets, and proprietary content used to train the AI.
  • Evynta Ownership: We retain ownership of the underlying codebase, algorithms, proprietary workflows, and structural frameworks used to build the AI Agents. You are granted a non-exclusive, non-transferable license to use the deployed agent for your business operations.

5. Fees and Payment

Pricing for one-time builds and monthly maintenance plans are listed on our Pricing page or provided via a custom quote. Payments must be made according to the schedule specified in your invoice.

Third-party usage costs (e.g., WhatsApp conversation fees, Twilio voice minutes, OpenAI token usage) are billed directly by those providers or passed through to you, and are not included in Evynta's base build or hosting fees unless explicitly stated.

6. Limitation of Liability

While we strive to build highly accurate and reliable AI Agents, artificial intelligence can occasionally produce unpredictable or inaccurate responses ("hallucinations").

To the maximum extent permitted by law, Evynta Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, resulting from your use of our Services, the performance of the AI Agents, or temporary downtime of third-party APIs.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date at the top of this page. Your continued use of the Services after such modifications constitutes your acknowledgment and acceptance of the updated Terms.
